1. About Knowledger
Knowledger is a confidential sharing platform operated by [Your Legal Entity Name] ("Knowledger", "we", "us"). These Terms govern your use of Knowledger at useknowledger.com and app.useknowledger.com.
By creating an account you agree to these Terms. If you don't agree, don't use Knowledger.
2. What Knowledger does
Knowledger enables users to send gated invitations to share confidential information. Recipients may be asked to complete a Prior Knowledge Declaration (PKD) and/or sign a Non-Disclosure Agreement (NDA) before accessing shared content.
3. Your account
You must provide accurate information when creating an account. You're responsible for keeping your login credentials secure. You must be 18 or older to use Knowledger.
4. Prior Knowledge Declarations
PKD submissions are encrypted and sealed immediately on submission. Neither Knowledger nor the inviting party can access sealed PKD content unless both parties agree to unseal it, or a formal legal process requires it. By submitting a PKD you confirm it is accurate to the best of your knowledge.
5. NDAs
Knowledger provides the NVCA standard mutual non-disclosure agreement as a template. By signing an NDA via Knowledger you are entering into a legally binding agreement with the inviting party. Knowledger is not a party to any NDA signed through the platform. We recommend seeking independent legal advice for complex or high value disclosures.
6. Subscriptions and billing
Knowledger offers paid subscription plans. Billing is handled by Stripe. You can cancel at any time from your account settings. On cancellation your account moves to Vault tier at $3/month — your sealed records remain maintained. If you cancel Vault, your records are no longer maintained on the platform. Refunds are not provided except where required by law.
7. Your data
You retain ownership of all content you submit to Knowledger. By using Knowledger you grant us a limited licence to store and process your content solely to provide the service. We do not sell your data. See our Privacy Policy for full details.
8. Acceptable use
You must not use Knowledger to share illegal content, infringe third party rights, or attempt to circumvent our security measures. We reserve the right to suspend accounts that violate these Terms.
9. Availability
We aim to keep Knowledger available but cannot guarantee uninterrupted service. We are not liable for any loss caused by downtime or service interruption.
10. Limitation of liability
To the maximum extent permitted by law, Knowledger's liability to you is limited to the amount you paid us in the 12 months preceding any claim. We are not liable for indirect, consequential, or incidental damages.
11. Governing law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.
12. Changes
We may update these Terms. We'll notify you by email of material changes. Continued use after changes constitutes acceptance.
